1. Agreement to Terms
These Terms of Service ("Terms") constitute a binding agreement between you and ChaseFlow Pte Ltd ("ChaseFlow") governing your access to and use of the ChaseFlow platform at chaseflow.com, app.chaseflow.com, and all related services, APIs, integrations, and communication channels (the "Service").
By creating an account or using the Service, you confirm that you are authorised to bind the entity you represent and that you agree to these Terms.
2. Definitions
- "Customer" — a business that subscribes to the Service to manage receivables.
- "Counterparty" — a third party who owes payment on an invoice submitted to the Service.
- "Platform" — the ChaseFlow web application, APIs, integrations, and associated tools.
- "Content" — any data, files, invoices, or messages uploaded or generated via the Service.
- "Communication Channels" — email, SMS, voice, and messaging used to contact counterparties.
3. Eligibility
- You must be at least 18 years old.
- You must have authority to enter these Terms on behalf of your organisation.
- Your registration information must be accurate, complete, and current.
- You must not be prohibited from using the Service under applicable laws.
4. Service Description
ChaseFlow is a managed receivables service. We run invoice follow-up on behalf of Customers through structured contact sequences across email, voice, and messaging, and provide an audited report of the work performed.
ChaseFlow is not a debt collection agency, law firm, or financial institution. Communications sent through the Service are sent on behalf of our Customers but are presented under a neutral operator identity within the TradePact Network, not in the Customer's own name. We do not provide legal or financial advice.
5. Your Account
- You are responsible for the confidentiality of your account credentials.
- You are responsible for all activity under your account.
- Notify us at hello@chaseflow.com if you suspect unauthorised access.
- We may suspend or terminate accounts that violate these Terms.
6. Acceptable Use
You agree not to use the Service to:
- Submit fraudulent, fabricated, or disputed invoices that do not represent genuine amounts owed.
- Harass, threaten, or abuse any counterparty or third party.
- Send unsolicited marketing or spam through the Communication Channels.
- Violate any applicable law, regulation, or third-party rights — including data-protection laws.
- Circumvent, disable, or interfere with the security features of the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
7. Customer Obligations
7.1 Data accuracy
You are solely responsible for the accuracy, legality, and completeness of all data you submit, including invoice details, counterparty contact information, and amounts owed.
7.2 Consent and compliance
- You have obtained all consents and authorisations needed to share counterparty personal data with ChaseFlow.
- You have a lawful basis (GDPR, PDPA, or applicable equivalent) for processing counterparty data through the Service.
- You will promptly honour any opt-out or deletion requests and notify ChaseFlow accordingly.
7.3 Regulatory compliance
You are responsible for ensuring your use of the Service complies with applicable laws in your jurisdiction, including consumer-protection, anti-harassment, data-protection, and electronic-communications regulations.
8. Communication Channels
The Service contacts counterparties on your behalf via email, voice, and messaging. Some voice and messaging interactions are AI-assisted, with appropriate disclosure to recipients as required by law. See our Trust page for details.
- Counterparties may opt out of contact at any time; opt-outs are processed immediately and you must not attempt to circumvent them.
- ChaseFlow is not liable for delivery failures caused by carriers, networks, or recipient device settings.
- Usage fees for voice, SMS, or messaging may apply in addition to your subscription, as detailed in your pricing plan.
9. Fees and Payment
- Fees are charged per your pricing plan or as agreed in writing.
- All fees are exclusive of applicable taxes unless stated otherwise.
- Payments are processed via Airwallex and subject to Airwallex's terms.
- Overdue payments may result in suspension after at least 7 days' notice.
- Pricing changes will be notified at least 30 days in advance.
10. Intellectual Property
All rights in the Service — software, design, trademarks, processes, algorithms, documentation — remain the exclusive property of ChaseFlow Pte Ltd. You retain ownership of all Content you submit and grant ChaseFlow a limited, non-exclusive, worldwide licence to use, process, store, and transmit that Content solely to operate and improve the Service.
11. Data Protection
Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. Enterprise customers may request a Data Processing Agreement (DPA) by contacting privacy@chaseflow.com.
12. Service Availability
We aim for high availability but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or security with reasonable notice where possible, and are not liable for loss arising from service interruptions.
13. Limitation of Liability
- ChaseFlow is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- Total aggregate liability is capped at the fees paid by you in the 12 months preceding the claim.
- We are not liable for the actions, omissions, or responses of counterparties contacted through the Service.
- The Service facilitates communication and reporting; it does not guarantee payment outcomes.
14. Indemnification
You agree to indemnify and hold harmless ChaseFlow from claims arising from your use of the Service, Content you submit, failure to obtain necessary consents, or violation of any applicable law.
15. Termination
- You may cancel your account at any time through platform settings or by contacting us.
- We may suspend or terminate your account immediately for material breach or where required by law.
- Upon termination, your right to use the Service ceases. Your data is retained per the Privacy Policy unless you delete it prior to closure.
- Sections that by nature survive termination (Limitation of Liability, Indemnification, Governing Law) shall survive.
16. Dispute Resolution
Disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to mediation in Singapore, and failing that, to arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
17. Governing Law
These Terms are governed by the laws of Singapore. You consent to the exclusive jurisdiction of the courts of Singapore for any proceedings arising from these Terms.
18. Modifications
We may modify these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
19. Severability & Entire Agreement
If any provision is held invalid, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any DPA or order form, constitute the entire agreement between you and ChaseFlow.
